1) Term of Agreement

This agreement shall be effective on the date of acceptance and remain in force until superseded by an updated version published by Easy Domains. By purchasing services or domains through Business Direct Online Ltd (trading as Easy Domains), you agree to the terms set out below.

2) Responsibilities

2.1) It is the sole responsibility of the customer ("you" or "the client") to read this agreement carefully and ensure that all services and products purchased are accurate. Any concerns must be raised with Easy Domains within seven days of purchase. If an error is identified after seven days, you may be subject to a charge for any required amendments. You must ensure your contact details are up-to-date and accurate at all times. If Easy Domains identifies inaccurate or misleading client information, we reserve the right to suspend or terminate the agreement with immediate effect, without refund, where appropriate.

2.2) Easy Domains is responsible for ensuring that all orders and domain registrations are processed accurately. Should we discover an error on our part, we will correct it promptly upon notification. We will also manage domain technical configurations (DNS changes, name server updates) as requested, normally within 24 working hours. We aim to provide a robust and efficient service, but cannot guarantee uninterrupted access at all times.

3) Domain Name

3.1) Each domain name purchased from Easy Domains comes with a standard registration period (commonly twelve months unless otherwise specified). You must renew the domain name prior to its expiry date to keep it active. Renewal reminders will usually be sent approximately 30 days, 14 days, 7 days and 1 day before expiry, but it remains your responsibility to ensure timely renewal.

3.2) If a domain name is not renewed by the expiry date, it will expire and become inactive in your account. Associated services (such as a website or email) may also be suspended. A final expiry notice will generally be sent to the email address on file, specifying the final date on which renewal is possible.

3.3) From the date of expiry, Easy Domains may, at our sole discretion, provide a grace period of up to 30 days during which you may still renew the domain at the standard renewal fee. For .UK domains, this renewal period aligns with Nominet's policies, which generally allow 30 days before suspension. After this period, renewal may still be possible at additional cost if the domain has not yet been released. If you do not renew the domain within these 30 days, your rights to the domain will lapse. After the 30-day post-expiry period, Business Direct Online Ltd reserves the right to retain ownership of the domain. Once retained, we may list ourselves as the registrant and remove it from your account. At this point, you will no longer have any rights to renew, reclaim, or transfer the domain, and it may be resold or used at our discretion. You agree that you have no claim against Easy Domains or Nominet (for .uk domains) regarding a domain that was not renewed within this grace period.

3.4) If we retain a domain under clause 3.3, we may use it for our own portfolio or offer it for resale. This policy is in line with our intention to mitigate losses for unrenewed or abandoned domains.

3.5) Domain Registrant Details and Ownership

3.5.1) Customer-Purchased Domains
Where you have purchased a domain from Easy Domains (i.e. you have agreed to buy the domain outright or it is explicitly included in your paid package), the domain is registered directly in your name upon registration. As the registrant, you are legally recognised as the owner of that domain from the outset. You will have full control, subject to any ICANN or Nominet mandatory conditions and any relevant lock periods (e.g. a 60-day transfer lock after registration).

3.5.2) Domains Secured on Trust (No Purchase Agreement in Place)
In some circumstances, Easy Domains may secure a domain name under Business Direct Online Ltd if no formal purchase agreement is yet in place. For instance, where you express an interest in a domain but have not completed payment or signed a contract, we may register the domain in our name to ensure it is available if you decide to proceed. In such cases, you have no contractual right of ownership until a purchase is completed and we formally transfer the domain into your name.

3.5.3) Beneficial Use
During the period in which a domain is registered in Business Direct Online Ltd's name, you may be granted beneficial use if we have verbally or contractually agreed that you can use the domain for an upcoming project. This arrangement does not change the legal registrant details; we remain the owner on record until you purchase or the agreed contract is fulfilled. If you choose not to purchase or proceed, or if you fail to finalise the agreement, we reserve the right to retain or dispose of the domain at our discretion.

3.5.4) Transfer to Customer
If you have purchased the domain or fulfilled the necessary conditions in your service agreement, we will promptly transfer the domain registration into your name. Once transferred, you will be the official registrant. If you have a website package where the domain is offered free but only becomes fully owned by you upon reaching a certain term, transfer will take place upon meeting that term's conditions. This process complies with all Nominet (.uk) and ICANN (gTLD) requirements.

3.5.5) Domains Included in Packages
Any domain included in a free package (for example, free for the first year with a website design) may remain in our name if the package terms specify that full ownership only transfers upon continuing service or making a specific payment. Please review your individual contract for details on when and how ownership transfers.

3.6) Domain Expiry and Notices

Easy Domains endeavours to send renewal reminders to the registered contact, but ultimate responsibility rests with you to ensure renewal before expiry. We adhere to ICANN's and Nominet's policies regarding reminder notices but cannot be held liable for email deliverability issues or outdated contact details you have not updated.

3.7) Domain Transfer Policy

3.7.1) Newly registered domains cannot be transferred to another registrar for the initial 60 days, as per ICANN rules. A further 60-day lock may apply if you renew an expired domain during the 30-day grace period.

3.7.2) We do not charge a fee for transferring a domain to another registrar within 120 days from the registration date, provided you meet all contractual obligations. Transfers requested after 120 days may be subject to an administrative fee to cover handling costs.

3.7.3) Transfers are only possible if any outstanding fees on your account have been settled. You are responsible for providing accurate information (including EPP codes or IPS tags) to facilitate the transfer. Any incorrect information or domain transfer to an unintended party is solely your responsibility.

3.7.4) Transfer lock periods are standard in the domain industry and cannot be waived unless specific registry rules permit. You acknowledge these policies when registering domains through us.

3.8) Incorporation of Registry Terms

By registering or renewing a domain through Easy Domains, you agree to the relevant registry or registrar terms. For .UK domains, this includes Nominet's Terms and Conditions and Dispute Resolution Service. For gTLDs (like .com/.net), this includes ICANN policies, including the Uniform Domain Name Dispute Resolution Policy (UDRP). By proceeding, you acknowledge these policies form part of this Agreement.

3.9) Data and Privacy

3.9.1) Use of Personal Data
When registering a domain, you must provide personal information (name, address, phone, email). Easy Domains collects and processes this data for registration and management purposes. We share necessary details with the registry (e.g. Nominet or ICANN-accredited registries) as required to process your domain registration. This processing is performed on the lawful basis of contract fulfillment under GDPR. In some cases, registry operators may publish limited WHOIS information about your domain (e.g. organisation name for businesses), but personal data will be protected in accordance with GDPR and registry policies. We also use Postmark for sending transactional emails related to account management and domain notices. By using our services, you consent to these uses and acknowledge that Postmark (and other service providers) may process your information as part of their email delivery service.

3.9.2) GDPR Compliance
We comply with GDPR and UK data protection laws, ensuring the lawful and secure handling of your personal data. Where applicable, registry operators may publish or redact certain data in the WHOIS database. We retain your registration data as long as you hold an account with us, and for at least two years after a domain's expiry or transfer away, in line with ICANN data retention requirements. 4) Website and Hosting Services

Easy Domains provides website design, hosting, and content management system (CMS) services through Easy Sites and other associated platforms. The following terms apply to all hosting and website-related services.

4.1) Hosting Services

Our hosting services are provided on an "as is" and "as available" basis. We strive for 99.9% uptime, but we do not guarantee uninterrupted service. Scheduled maintenance or unexpected technical issues may result in temporary downtime. We will notify customers in advance of any planned maintenance that may affect services.

You are responsible for ensuring that any content uploaded to your hosting account complies with applicable laws and does not infringe upon third-party rights. We reserve the right to suspend or remove content that violates our Acceptable Use Policy or is found to be illegal.

4.2) Website Development & Customisation

If your service includes website development, Easy Domains will provide website design services as agreed. The final website will be provided based on the specifications confirmed by you. Any additional features or changes requested after the project has commenced may be subject to additional charges.

4.3) Website & Hosting Termination

If you cancel your website service or hosting, all associated content, emails, and databases will be permanently deleted from our servers after 30 days unless you have arranged for an alternative backup.

4.4) Third-Party Software & Integrations

Some websites or hosting packages may include integrations with third-party software (such as plugins, payment gateways, or analytics tools). We are not responsible for the continued compatibility or functionality of third-party integrations.

4.5) Security & Data Protection

While we take security seriously and implement protective measures, we do not guarantee that websites hosted on our servers will be immune from cyberattacks or unauthorised access. Customers are responsible for keeping login credentials secure and ensuring that their website software is up to date.

4.6) Website Backups and Exports

If you require a copy of your website or any associated content, please request this before initiating a domain transfer or cancelling hosting. Because our websites are typically built in a custom CMS, any backup we provide will be in the form of a static HTML export of your site. This means you will receive static files that you may upload to another server, but no dynamic CMS features or ongoing support is provided. We do not provide configuration support for the exported files once delivered. An administration fee may apply for generating and supplying this backup, dependent on site size and complexity. Website transfer assistance is outside the scope of the domain transfer itself and is considered a separate service.

5) Email Services

5.1) Email services may be offered alongside domain registration or as part of a hosting package. While you can often manage your email addresses through Easy Sites (our platform), the domain itself remains subject to the terms in Section 3 above.

5.2) Our default service includes up to 5 personalised email addresses per domain, each with a finite storage limit (currently 5GB per mailbox unless stated otherwise). Additional email addresses or storage can be purchased separately.

5.3) We make every effort to provide a reliable email service, but occasional disruptions may occur for maintenance or due to network issues. We send outgoing messages via Postmark to enhance deliverability. By using our email service, you agree that we may process your sender details through Postmark. We do not guarantee email deliverability to every potential recipient, as this also depends on external mail servers' spam/junk filtering policies.

5.4) Unlawful, fraudulent, or spam-related use of our email services is strictly prohibited. We reserve the right to suspend or terminate any email account used in violation of these terms, without refund. If your service is cancelled for breach of these terms, you forfeit any remaining service period.

5.5) We advise all customers to back up their important emails regularly. Our servers may not be used as a permanent archive. If your mailbox exceeds the stated storage limit, we may request you to reduce it or purchase additional space. Failure to comply may result in suspension of your email services.

6) Search Engine Optimisation (SEO) and Marketing Services

Easy Domains offers search engine optimisation (SEO) and digital marketing services, including but not limited to, Google Ads, Facebook Ads, and website ranking improvements. These services are subject to the following terms.

6.1) SEO Services

SEO services aim to improve your website's ranking on search engines. However, search engine algorithms change frequently, and we cannot guarantee specific rankings or positions.

SEO results may take weeks or months to materialise, and we are not responsible for external changes, such as search engine penalties or competitor actions, that may affect ranking performance.

6.2) Paid Advertising Services

Paid advertising services, including Google Ads and social media marketing, are managed on your behalf according to your specified budget and targeting preferences.

No refunds are provided once an advertising campaign has been launched, as the advertising spend is committed to the platform. If you decide to pause or terminate a campaign early, the remaining funds may not be refundable, depending on platform rules.

6.3) Client Responsibilities

You are responsible for providing accurate information and access to relevant accounts where necessary. If requested data or materials are not supplied, this may impact the effectiveness of marketing campaigns.

7) Google Ads and Other Pay-Per-Click (PPC) Services

7.1) Any advertising or PPC services provided by Easy Domains are now referred to as "Google Ads" (formerly Google AdWords) or other platforms such as Bing Ads or Facebook Ads. We will manage campaigns on your behalf, applying budgets and targeting in line with your instructions where feasible.

7.2) No refunds will be issued for Google Ads or any PPC service once an advertising campaign has commenced, as advertising spend is typically committed to the platform upon launch. If you decide to terminate a campaign early, the remainder of your funds may be non-refundable, depending on the platform's rules or contract specifics.

8) Advertising Account Access and Reporting

We manage all paid advertising campaigns (e.g., Google Ads, Microsoft/Bing Ads, Facebook Ads) through our own or partner-managed accounts. For security, confidentiality, and compliance reasons, we do not share direct login credentials or add external managers to these advertising platform accounts under any circumstances.

We will provide performance statistics (e.g., clicks, impressions, conversions) upon written request at reasonable intervals during the campaign, and up to three months after the campaign concludes. Beyond this period, statistics and account data may no longer be available.

9) Payment and Refund Policy

9.1) All invoices are due on receipt unless otherwise stated. Failure to pay on time may result in suspension of services. You are responsible for keeping your payment details up to date.

9.2) If you are set up on a recurring billing plan, you authorise us to take payment at the specified intervals until the service is cancelled. You must notify us at least 14 days before the next billing date if you wish to cancel.

9.3) No refunds will be provided for domain names once successfully registered or renewed, as these costs are non-recoverable. Please ensure the domain name is correct before confirming your order.

9.4) Full or partial refunds for hosting, design, or other services may be granted at our discretion if no significant work has been undertaken or if you cancel within the terms specified in your individual contract. If a project has begun, we reserve the right to deduct costs for work already completed.

9.5) Advertising (Google Ads, PPC) services are non-refundable once commenced, as explained in section 7.2. This ensures we are not liable for expenses already incurred on your behalf.

9.6) If you believe you have been wrongly charged, please contact our billing department within 30 days of the invoice date. We will investigate and respond promptly.

10) Complaints and Dispute Resolution

If you have a complaint, please refer to our Complaints Procedure on our website. We aim to resolve all disputes amicably and professionally. For .UK domain disputes, you may escalate matters to Nominet if required. For gTLD disputes, ICANN's UDRP applies.

11) Liability and Indemnification

11.1) Limitation of Liability

To the maximum extent permitted by law, Easy Domains (Business Direct Online Ltd) shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or goodwill, resulting from the use or inability to use our services.

While we strive to provide reliable services, we do not guarantee uninterrupted or error-free operation of our websites, hosting, or domain registration services. We are not liable for damages caused by service interruptions, technical failures, or third-party actions.

11.2) Customer Indemnification

You agree to indemnify and hold harmless Easy Domains, its officers, employees, and agents from any claims, liabilities, damages, or expenses arising from:

  • Your breach of this agreement
  • Your use of our services in violation of any applicable laws
  • Any content you upload, publish, or distribute via our hosting services
  • Domain disputes or trademark infringement claims relating to domains registered through our platform

11.3) Force Majeure

We shall not be held liable for any failure or delay in service performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, government actions, natural disasters, power failures, cyberattacks, or telecommunications outages.

12) Amendments and Variation

We reserve the right to revise or replace this Purchase Agreement at any time. Any significant changes will be posted on our website, and your continued use of our services after changes are posted will constitute acceptance of the new terms.

13) Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14) Entire Agreement

This Agreement, together with any referenced documents (such as our Privacy Policy or domain-specific terms), constitutes the entire agreement between you and Easy Domains regarding your purchase of services and products. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and us.
